1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Global Perks Pte. Ltd. (“Global Perks,” “we,” “us,” or “our”), governing your access to and use of our website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and the entity.

2. Definitions

  • “Company” refers to a business entity that registers on the platform to manage and distribute employee perks.
  • “Company Administrator” refers to an authorized individual who manages the Company account, including employee management, voucher distribution, and financial settings.
  • “Employee” refers to an individual whose employer has registered on the platform and who receives access to perks and experiences through their company account.
  • “Provider” refers to a business that offers experiences, products, or services through the Global Perks platform.
  • “Voucher” refers to a digital entitlement purchased by a Company and distributed to Employees, redeemable at participating Providers.
  • “Redeem Code” refers to the unique alphanumeric code issued to an Employee for redemption at a Provider location.

3. Account Registration & Responsibilities

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password and access credentials confidential.
  • Immediately notify us of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 24 months.

4. Company-Specific Terms

4.1 Credit & Billing

Companies operate on a credit-based system. You agree to the credit limit established for your account and acknowledge that all voucher purchases are deducted from your available credit balance. Credit limits may be adjusted based on account history and mutual agreement. Outstanding balances must be settled according to the payment terms agreed upon during onboarding.

4.2 Voucher Purchases

Voucher purchases are final once confirmed. Companies may not request refunds for distributed vouchers unless the associated Provider is unable to fulfill the experience. Undistributed vouchers may be returned for credit subject to our refund policy.

4.3 Employee Data

When adding employees to the platform, you represent that you have obtained all necessary consents for sharing employee contact information (name and email) with Global Perks for the purpose of providing the Services.

5. Provider-Specific Terms

5.1 Listing & Redemption

Providers agree to honor all valid Redeem Codes presented by Employees at their registered outlets. Providers must verify each code using the platform before delivering the experience. Redemptions are one-time only, and Providers must not accept codes that have already been redeemed.

5.2 Service Standards

Providers agree to deliver experiences consistent with the descriptions listed on the platform. Experiences must meet reasonable quality standards. Global Perks reserves the right to remove Providers who consistently receive negative feedback or fail to honor valid redemptions.

5.3 Settlement

Provider settlements are processed according to the terms agreed upon during onboarding, typically on a monthly cycle. Settlement amounts are based on verified redemptions during the settlement period.

6. Employee-Specific Terms

As an Employee user, your access to the platform is provided through your employer. You agree to:

  • Use vouchers only for personal use or as permitted by your employer's policies.
  • Not sell, trade, or commercially exploit Redeem Codes.
  • Keep your Redeem Codes and PINs confidential. You may share specific codes with family or friends for personal redemption at your discretion.
  • Present valid identification if requested by a Provider during redemption.

Your access to the platform may be modified or terminated if your employment relationship with the Company changes. Unredeemed vouchers remain subject to your employer's policies.

7. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Services.
  • Forge, manipulate, or attempt to duplicate Redeem Codes or vouchers.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Collect or harvest data from the Services without our written consent.
  • Use automated systems (bots, scrapers) to access the Services without authorization.

8. Intellectual Property

All content, features, functionality, trademarks, logos, and design elements of the Services are owned by or licensed to Global Perks and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Companies and Providers retain ownership of their respective brand assets and content submitted to the platform. By submitting content, you grant Global Perks a non-exclusive, worldwide license to use, display, and distribute such content solely in connection with the Services.

9. Disclaimers & Limitation of Liability

9.1 Service Availability

The Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

9.2 Provider Experiences

Global Perks facilitates connections between Companies, Employees, and Providers but does not directly provide the experiences listed on the platform. We are not liable for the quality, safety, or availability of experiences offered by Providers.

9.3 Limitation of Liability

To the maximum extent permitted by law, Global Perks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Termination

Either party may terminate the use of Services at any time. Companies may close their accounts by contacting our support team. Upon termination, outstanding balances must be settled, and any unredeemed vouchers will be handled according to the agreed terms. We may immediately suspend or terminate access for violations of these Terms.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of Singapore. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms on our website and sending notice to the email associated with your account. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
